These Terms and Conditions ("Terms") govern your use of services provided by HEXADYN, a practice operated by Karen Minchow, MPAS, PA-C ("HEXADYN," "we," "us," or "our"). By enrolling in services, signing service agreements, or using the HEXADYN website, you agree to be bound by these Terms.

1. SERVICE OFFERINGS

HEXADYN operates under a two-tier service model with distinct legal structures:

1.1 Tier 1: Clinical Integrative Care (Utah Residents Only)

Legal Classification: Licensed medical practice provided by Karen Minchow, MPAS, PA-C, a licensed physician assistant in the State of Utah (License No. 105860-1206). Services are provided in accordance with the Utah Medical Practice Act and applicable regulations.

Services Provided: Clinical services may include comprehensive health assessment, medical diagnosis, laboratory testing and interpretation, bioidentical hormone replacement therapy (BHRT), peptide therapy using compounded medications where clinically appropriate, individualized treatment plans, and ongoing clinical monitoring.

Provider-Patient Relationship: Clinical services establish a provider-patient relationship. You will be required to sign a Medical Consent form and specialty consents (BHRT Consent, Peptide Consent) as applicable.

Geographic Limitation: Clinical services are available only to individuals physically located in Utah at the time of service. For telemedicine services, you must be in Utah during the consultation. A valid Utah address is required for prescription services.

Compounded Medications: Compounded medications used in peptide therapy are not FDA-approved but are prepared by licensed compounding pharmacies in accordance with applicable federal and state regulations. Medication costs are not included in service fees and will be billed separately.

1.2 Tier 2: Wellness Education Services (Nationwide)

Legal Classification: Educational coaching services that do not constitute medical practice and do not establish a provider-patient relationship. These services do not require medical licensure.

Services Provided: Wellness education services include general information about integrative health approaches, the Four Pillars wellness framework (Physical, Mental/Emotional, Social, Spiritual), peptide research education (general discussion of published research), lifestyle and nutrition education, wellness coaching, and accountability support.

No Provider-Patient Relationship: Educational services do not establish a provider-patient relationship and do not include medical advice, diagnosis, treatment, prescriptions, medical testing, or treatment recommendations for specific conditions.

Geographic Limitation: None. Educational services are available nationwide.

Documentation: Educational services are documented as session summaries (not medical records) and are not HIPAA-covered.

2. ELIGIBILITY & ENROLLMENT

Clinical Services: You must be at least 18 years old and physically located in Utah at the time of service. You will be required to provide a valid Utah address and sign all applicable consent forms.

Educational Services: You must be at least 18 years old. Educational services are available nationwide.

Right to Refuse: HEXADYN reserves the right to refuse or terminate services to any individual at any time for any reason, including but not limited to failure to comply with treatment plans, abusive or threatening behavior, or misrepresentation of the nature of services.

3. FEES, PAYMENT, AND REFUNDS

Service Fees: Services are provided on a fee-for-service, cash-pay basis. Fees are outlined in your membership tier selection (Foundation, Transformation, or Integration).

Payment Terms: Payment is required in full at time of enrollment or according to an agreed payment plan. Payment may be made via credit card, debit card, or other approved methods.

Additional Costs: Professional service fees do not include laboratory testing, medications, supplements, or other ancillary services. These will be billed separately.

Insurance: Services may not be covered by insurance. You are responsible for verifying coverage with your insurance provider. HEXADYN does not bill insurance directly but may provide superbills upon request.

Refund Policy: Services are non-refundable after the initial 72-hour cancellation period. If you cancel within 72 hours of enrollment and have not yet received services, you may be eligible for a refund minus any administrative fees.

Late Payment: Services may be suspended for non-payment. You will be notified prior to suspension and given an opportunity to bring your account current.

4. YOUR RESPONSIBILITIES

Accurate Information: You are responsible for providing accurate, complete, and current health information. Failure to disclose relevant health conditions, medications, or allergies may result in adverse outcomes and limits our ability to provide safe care.

Compliance with Treatment Plans: If you are receiving clinical services, you agree to follow treatment recommendations and attend scheduled follow-up appointments. Failure to comply may result in discontinuation of services.

Communication: You agree to respond promptly to communications from HEXADYN and notify us of any changes in your health status, medications, or contact information.

Emergency Situations: HEXADYN does not provide emergency medical services. In case of a medical emergency, you should call 911 or go to the nearest emergency department immediately.

Autonomous Health Decisions: For educational services, you acknowledge that you are solely responsible for all health decisions made based on general information provided. Educational information does not constitute medical advice.

5. DISCLAIMERS

No Guaranteed Outcomes: Results vary by individual. We do not guarantee specific health outcomes from clinical treatment or educational services.

FDA Disclaimer: Compounded medications used in peptide therapy are not FDA-approved. Statements made about supplements, peptides, or wellness strategies have not been evaluated by the FDA and are not intended to diagnose, treat, cure, or prevent disease.

Educational Services Disclaimer: Wellness education services are for informational and educational purposes only. They do not constitute medical advice and do not establish a provider-patient relationship. Any discussion of research compounds is general education only and is not a recommendation for individual use.

Supplement & Affiliate Relationships: HEXADYN may receive compensation from supplement companies we recommend through affiliate relationships, commissions, or wholesale arrangements. We only recommend products we believe are beneficial. This compensation does not influence the clinical recommendations made for patients receiving medical services.

6. LIMITATION OF LIABILITY

To the fullest extent permitted by law, HEXADYN and Karen Minchow, PA-C shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of services, including but not limited to:

  • Adverse health outcomes from treatment decisions or autonomous health choices

  • Costs of medical care needed due to treatment complications or health decisions

  • Lost wages, income, or business opportunities due to health issues

  • Pain, suffering, or emotional distress

  • Use of independently-sourced supplements, peptides, or research compounds

HEXADYN's total liability for clinical services shall not exceed the fees paid for those services. For educational services, HEXADYN's total liability shall not exceed the amount paid for educational services.

Medical Malpractice: This limitation of liability does not apply to medical malpractice claims arising from clinical services, which are governed by professional liability insurance and Utah medical malpractice law.

7. PRIVACY & CONFIDENTIALITY

Clinical Services: Clinical services are subject to HIPAA privacy regulations. Your health information will be protected in accordance with our HIPAA Notice of Privacy Practices, which you will receive separately.

Educational Services: Educational services are not subject to HIPAA. However, we maintain confidentiality of information you share as a matter of professional ethics. For details, see our Privacy Policy.

8. TERMINATION

Your Right to Terminate: You may terminate services at any time for any reason. Membership agreements may have specific provisions regarding early termination. No refunds will be provided for services already rendered.

Our Right to Terminate: We may terminate services if you fail to comply with payment obligations, engage in abusive or threatening behavior toward staff, fail to comply with treatment plans (for clinical services), misrepresent the nature of services, or if we determine that services are not clinically appropriate for your needs.

9. DISPUTE RESOLUTION & GOVERNING LAW

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles.

Informal Resolution: Before initiating legal action, both parties agree to attempt resolution through good-faith negotiation.

Jurisdiction: Any disputes arising from these Terms or services provided shall be subject to the exclusive jurisdiction of the state and federal courts located in Utah.

10. MODIFICATIONS TO TERMS

HEXADYN may modify these Terms at any time with 30 days' notice. Notice will be provided via email or through the HEXADYN website. Continued use of services after the effective date of modifications constitutes acceptance of the updated Terms. If you do not agree to the modifications, you may terminate services.

11. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving the original intent.

12. ENTIRE AGREEMENT

These Terms, together with your signed service agreements (Medical Consent, BHRT Consent, Peptide Consent, Wellness Education Agreement), membership agreement, and Privacy Policy, constitute the entire agreement between you and HEXADYN. These Terms supersede any prior oral or written agreements.
